1. Who This Is
GrayDen Softworks is an engineering studio operating under Abia State, Nigeria, serving clients wherever they are.
2. What Gets Built
Custom software and systems, workflow automation, digital experiences, focused utility tools, and ongoing support and maintenance — see the Service Catalogue for the full breakdown of what each engagement can include.
3. What's Expected in Return
Accurate, complete information about the problem being solved. Responses to drafts and questions within 48 hours, so timelines stay realistic. Payment on the agreed schedule. And no unsupervised changes to delivered code — request a change instead; that's what support is for.
4. Payment
Custom projects: 50% deposit before work begins, 50% due on completion and approval. Retainers and ongoing support: billed monthly, in advance. Late payments carry a 5% per week late fee. Pricing is in USD unless otherwise agreed in writing.
5. Ownership
Your data is always yours — it's never sold, and access to it is never withheld as leverage. Client‑specific work (the configuration, customization, and features built for your organization specifically) is owned according to whichever model is set out in your Service Agreement. GrayDen Core — the underlying reusable engineering that every system is built on — always remains GrayDen's, and is never handed over as editable source, regardless of payment status. 6. What GrayDen Isn't Responsible For
Data loss caused by third‑party outages (Google, automation platforms, etc.), business outcomes or revenue changes — systems get built; specific results aren't guaranteed — and damage caused by unsupervised modification of delivered code. Defects found within 30 days of delivery get fixed at no extra cost.
7. Refunds
100% refund if work hasn't started. 50% refund if a project is in progress. No refund after final delivery and approval. Retainer fees are non‑refundable once billed.
8. If Something Goes Wrong
The first step is always an informal conversation. If that doesn't resolve it, mediation is the next step. If that fails too, disputes are resolved through arbitration in Abia State, Nigeria.
9. Governing Law
These terms are governed by the laws of Abia State, Nigeria, regardless of where a client is based.
